Expanded Terms of Service — Pro-Agency Focus

Social Media Management & Access

What happens when you connect your accounts, and who answers for what gets posted.

Authorization

The Client grants AgentAssistPlus “Authorized User” status to access their social media accounts (via API or login credentials) for the sole purpose of:

  • Uploading and scheduling posts (Avatar Studio / SmartGrid).
  • Monitoring and responding to comments via AI-driven automation.
Content responsibility

AgentAssistPlus is a tool. The Client is the publisher. The Client is responsible for all content posted to their profiles. AgentAssistPlus is not liable for community-standards violations, shadowbans, or account suspensions resulting from AI-generated content or automated interactions.

Auto-reply disclaimer

The Client acknowledges that AI-driven comment replies are generated based on context. AgentAssistPlus is not responsible for hallucinations (incorrect information) or tone mismatches in automated social interactions.

Intellectual Property & AI Training

Who owns your voice, your likeness, and the finished files that come out the other end.

Voice / likeness license

The Client grants AgentAssistPlus a perpetual, non-exclusive, royalty-free license to use their voice recordings and images only to create the Avatar Studio and VTourGuide assets.

Ownership of output

Upon full payment, the Client owns the final video and post files. AgentAssistPlus retains ownership of the underlying AI prompts, workflows, and proprietary software used to create them.

Lead Flow & Call Pilot

The "Anti-Lawsuit" Clause

Consent obligations for automated calls and texts, and who covers the legal bill if a lead sues.

TCPA & CASL compliance

The Client warrants that every lead imported into the CRM has provided Express Written Consent to be contacted by automated means.

Indemnification

If a lead sues for harassment or unsolicited calls, the Client agrees to indemnify and hold AgentAssistPlus harmless, covering all legal fees and settlements.

How We Use Third-Party Credentials

When you provide access to your social media accounts or CRM, we encrypt your credentials. We do not sell your login data. Access is used strictly for the execution of the services — posting, replying to comments, and syncing leads.

Data Processing of Leads

AgentAssistPlus acts as a Data Processor, while the Agent acts as the Data Controller. We process lead information (phone and email) only to trigger the Lead Flow and Market Pulse systems. We do not own your leads and will never market to them for our own purposes.

Voice & Biometric Data

In compliance with privacy laws, voice recordings used for cloning are stored in secure, encrypted environments. We do not share the Voice Model with any third party other than the specialized AI processing engine used for your specific account.
